Terms of Sale

These terms set out the main commercial conditions for Deckpass services, software access, setup work, and related support delivered by SARL 1Groupe.

These terms apply to Deckpass commercial engagements unless a separate signed agreement, proposal, or enterprise contract expressly overrides them.

Commercial scope

Deckpass software access and related operational use
Setup, rollout, and onboarding services where included
Badge, printer, and workflow configuration support where agreed
Support and follow-up services within the purchased scope

The exact scope of each engagement may vary by vessel, management company, or operational environment and may be further defined in a quotation, proposal, or order confirmation.

Orders, pricing, and payment

Pricing is provided in the applicable quotation, pricing page, or commercial exchange in force at the time of order.
An order is considered accepted once confirmed by SARL 1Groupe in writing or by invoice / order confirmation.
Unless otherwise agreed, invoices are payable in full under the payment terms stated on the invoice.
SARL 1Groupe may suspend access, setup work, or delivery where payment has not been received on time.

Service delivery and limits

Deckpass is delivered as a professional operational software and service offer, not as an unlimited bespoke development commitment.
The client remains responsible for providing accurate operational information, approved hardware choices, and timely access needed for setup.
Where third-party hardware, connectivity, or external services are involved, SARL 1Groupe cannot guarantee performance beyond the agreed service scope.
Any custom work, expanded support, or non-standard rollout requirements may be quoted separately.

Liability and intellectual property

SARL 1Groupe retains all intellectual property rights in Deckpass, its software, designs, documents, and related materials unless expressly agreed otherwise in writing.
The client receives only the usage rights expressly granted in the relevant commercial arrangement.
SARL 1Groupe shall not be liable for indirect losses, loss of revenue, loss of opportunity, or business interruption except where mandatory law provides otherwise.
The client is responsible for verifying that the chosen operational, hardware, and deployment context is suitable for its own needs.

Applicable law and disputes

These Terms of Sale are governed by French law.

In the event of a dispute, the parties will seek an amicable resolution first. Failing that, the matter will be submitted to the competent courts under the ordinary rules of French law.

If a French version of these terms is later issued, it may take precedence for legal interpretation where required.
